Terms of service

Plain English first. Legal language second where we have to. These terms cover the relationship between AutoDealerPro ("ADP", "we") and you, a dealership using our platform ("you", "dealer").
1. What we provide
A multi-tenant SaaS platform: the dealer app, Herald (the AI receptionist), the marketplace, and the public dealer profile. We host it; you log in.
2. Your data is yours
Inventory, customer records, deal records, call recordings, audit logs — all yours. We process them on your behalf to operate the service. You can export everything as JSON or CSV at any time, including after cancellation. We'll never sell, share, or monetize your data with third parties.
3. Acceptable use
Don't use ADP to do illegal things. Don't reverse-engineer the platform. Don't use Herald to spam, defraud, or impersonate. Don't attempt to access another dealer's data — Row-Level Security blocks it anyway, but we'll terminate accounts that try.
4. Subscription + billing
Plans: $489/mo (Independent), $1,490/mo (Franchise), or custom (Enterprise). Billing is monthly or annual via Stripe. 14-day free trial on Independent and Franchise, no card required. Annual plans get 2 months free. You can cancel anytime — service continues through the paid period.
5. Service-level commitments
99.9% monthly uptime target on Franchise + Enterprise. Herald target: <700ms response time at p95. Status page at status.autodealerpro.io. SLA credits per the attached schedule on Franchise + Enterprise plans.
6. Liability
Our total liability in any 12-month period is capped at fees paid in that period. We're not liable for indirect, consequential, or lost-profit damages. Some jurisdictions don't allow these limits — they apply to the maximum extent permitted by law.
7. Termination
You can cancel anytime in Settings → Billing. We can terminate for non-payment after 30 days, for breach of these terms after 7 days' notice, or immediately for security or legal reasons. Either way, you get a 30-day export window.
8. Governing law
Florida law. Venue in Miami-Dade County. Mandatory mediation before either party files; arbitration if mediation fails (single arbitrator, AAA rules, English). Class actions waived to the extent permitted.
9. Changes to these terms
We'll post material changes here and email account owners 30 days before they take effect. Continuing to use ADP after the effective date means you accept the changes. If you don't, cancel — you get a pro-rated refund through the effective date.
